Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") form a binding agreement between TradingSFX ("we", "us", "our") and you ("Affiliate", "you") the moment you enroll in the TradingSFX Affiliate Program (the "Program"). Enrollment requires an active TradingSFX account and explicit acceptance of these Affiliate Terms. Our general Terms of Service and Privacy Policy continue to apply to your account; where they conflict with these Affiliate Terms on Program matters, these Affiliate Terms prevail.

You must be at least 18 years old and legally able to enter into contracts. You must provide accurate information at enrollment and keep it current. We may decline or revoke an affiliate code that infringes third-party rights, impersonates another person or brand, or is misleading or offensive.

On enrollment you receive a unique affiliate code and referral link. Attribution works as follows:

• A visitor who opens your referral link gets a 30-day attribution cookie. If they create an account within that window, they are attributed to you (last click wins).
• Only new accounts qualify. Existing TradingSFX users cannot be retroactively attributed to an affiliate.
• Attribution is permanent once set: a referred customer stays linked to you for the life of their account.
• Self-referrals never generate commission: purchases made on your own account, on accounts you own or control, paid with a payment method associated with you, or made for an entity you own, work for, or control.

Attribution depends on cookies and standard web technology. We make reasonable efforts to track referrals accurately, but we are not liable for attributions lost to blocked cookies, cleared browsers, or circumstances outside our control. Our tracking records are the authoritative source for commission calculations.

Unless we agree different terms with you in writing, the standard Program commission is:

• 25% of each subscription payment we actually receive from a referred customer, net of VAT and other taxes, refunds, and chargebacks.
• Commission is recurring but time-limited: it accrues on payments made during the first 12 months counted from the referred customer's first commissioned payment. After that 12-month window, further renewals from that customer no longer generate commission.
• Commissions on payments that are later refunded, disputed, or charged back are not payable. The 60-day hold period in section 4 exists to cover this window.

Commission is always calculated on the amount the customer actually pays. If a customer subscribes with a discount code, a promotional price, a free trial, or any other reduced price, your commission is 25% of that reduced amount, not of the list price. We run discount campaigns and promotional offers at our discretion, at any time and for any duration, and we may change list prices; none of this constitutes a change to these Affiliate Terms and no notice is required. Free trial periods generate no commission: your commission starts with the customer's first paid invoice after the trial, and a customer who cancels during the trial generates nothing.

Commission applies to standard subscription payments only. It does not apply to taxes or one-time fees. We may agree custom rates or windows with individual partners in writing; your dashboard always shows the rate that applies to you.

• Payouts are made automatically via Stripe Connect. You must complete Stripe's onboarding and identity verification before you can be paid; keeping your Stripe account in good standing is your responsibility.
• Each commission becomes eligible for payout 60 days after it is earned (refund protection hold).
• Payouts run on the 1st of every month and cover your eligible balance, provided it is at least $50 USD. Balances under $50 roll over to the next month until the threshold is reached.
• Payouts are made in USD. Stripe may apply currency conversion and its own payout schedule and fees on your side of the transfer.
• Payouts are only possible to Stripe Connect accounts in countries Stripe supports. If Stripe cannot support you or your country, commissions keep accruing but cannot be paid until a supported account is connected. If an eligible balance remains unpayable for 24 months because Stripe onboarding was never completed, we may forfeit it after giving you 30 days' written notice.

You are solely responsible for any taxes, social contributions, or registration obligations that apply to your commission income in your country of residence. We do not withhold taxes on your behalf, and nothing in the Program creates an employment, agency, or partnership relationship. You participate as an independent contractor.

You may promote TradingSFX honestly, in your own voice, on channels you control. You must clearly disclose your affiliate relationship where required by applicable law and platform rules (for example FTC guidelines and EU consumer protection rules). The following are prohibited and lead to immediate termination and forfeiture of unpaid commissions:

• Sending unsolicited bulk messages of any kind (email, DM, comment spam) containing your referral link.
• Bidding on "TradingSFX" or confusingly similar terms and misspellings in paid search, or registering domains or social handles that impersonate us.
• Cookie stuffing, forced clicks, hidden iframes, pixel stuffing, or any technique that sets attribution without a genuine, deliberate click.
• Self-referrals, fake accounts, incentivizing signups with unauthorized rebates or cash-back, or any scheme designed to manufacture commissions rather than refer real traders.
• Misleading claims: guaranteed trading profits, fabricated results, false statements about our features or pricing, or presenting yourself as TradingSFX rather than an independent affiliate.
• Placing our brand or your referral link on content that is illegal, hateful, adult, or that promotes market manipulation or financial fraud.

If we reasonably suspect that clicks, signups, or payments attributed to you violate these Affiliate Terms, we may pause your payouts while we investigate, and you agree to answer our questions about your traffic and promotion methods honestly and promptly. If we determine after paying you that commissions resulted from a breach of these terms, or from payments that were later reversed, refunded, or charged back, we may recover those amounts by offsetting them against future payouts or by requesting repayment.

We grant you a limited, revocable, non-exclusive license to use the TradingSFX name and logo solely to promote the Service under these Affiliate Terms. You may not alter our marks or use them in ways that suggest endorsement beyond the affiliate relationship. This license ends automatically when your participation ends.

This agreement starts when you enroll and continues until terminated. Either party may terminate at any time, for any reason, with 14 days' written notice (email is sufficient). We may terminate immediately, without notice, if we reasonably believe you have committed fraud, breached these Affiliate Terms, or harmed our reputation.

• On termination, your referral links stop attributing new customers and your license to use our brand ends.
• If termination is not for fraud or breach: commissions already earned remain payable on the normal schedule, hold period, and threshold, for as long as your Stripe account stays connected.
• If termination is for fraud or material breach: unpaid commissions are forfeited.
• Closing your TradingSFX account ends your Program participation.

We may update these Affiliate Terms, the commission rate, the commission window, or the payout mechanics. Material changes will be announced at least 30 days in advance by email or in your affiliate dashboard, and apply prospectively: commissions already earned under the old terms are not affected. Continued participation after the effective date constitutes acceptance. We may also suspend or discontinue the Program entirely; in that case section 6 applies as a termination without cause.

To run the Program we process your name, email, affiliate code, Stripe Connect account identifier, and referral statistics. The legal basis is the performance of this agreement (GDPR Art. 6(1)(b)). Stripe processes your identity and payout data as an independent controller under its own terms. You must handle any personal data you collect in your own marketing in compliance with the GDPR and applicable law; you are not authorized to process personal data on our behalf. The Program is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee any level of traffic, conversions, or earnings. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from the Program, and our total aggregate liability to you is capped at the commissions we paid you in the 12 months preceding the claim. You agree to indemnify us against claims arising from your promotional activities or your breach of these Affiliate Terms.

These Affiliate Terms are governed by the laws of Romania. Disputes are subject to the exclusive jurisdiction of the courts of Bucharest, Romania. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our written consent.
